General Terms and Conditions of Business of BVL Service GmbH

for the online service provider directory "LOG.Direct"

1. LOG.Direct

is a service provider directory published by Bremen-based BVL. The focus of the directory is logistics consulting and logistics services.

The consultant/service provider books a one-year entry for an online service pro-vider profile in LOG.Direct, which is a constituent part of the www.bvl.de website.

Following an approx. one-year trial of the online service provider directory, BVL may compile a study on the logistics consulting/logistics service market and may also use the data of the consultant/service provider profile for this purpose.

2. Validity of the T&Cs; making of the contract

All services of BVL are provided exclusively on the basis of these T&Cs in the ver-sion applicable at the time of booking. The consultant/service provider accepts these T&Cs as binding and waives the right to assert his own T&Cs. The consult-ant/service provider assures BVL that he is only registering with the online service provider directory LOG.Direct within the framework of his trade, business or pro-fession.

The contract on the entry in the "LOG.Direct" online service provider directory is made with the dispatch of the request and the acceptance of this request by BVL.

3. Scope of service

3.1 The consultant/service provider provides his data by completing an online form, and this data is made available for access on a server via the Internet within the framework of LOG.Direct at www.bvl.de following editorial review. BVL does not assume any liability for the content or layout of the data or for ensuring that the data is correct, up-to-date or complete.

3.2 The consultant/service provider has the option of extending the scope of the provided data based on payment of a premium surcharge. This option is outlined in the service overview at www.bvl.de/logDirect.

3.3 Data relating to one or more of the following fields can only be updated once a year free of charge: company description, logistics area, consulting fields, project description. As the entries are subject to a comprehensive editorial review, addi-tional changes in these fields are billed based on a processing fee of 50 € net. Data in all other fields may be updated free of charge.

3.4 The consultant/service provider may choose whether he wants to offer his services in German/English only or also in the respectively other language.

4. Fees

The current fees (net, plus VAT) for 12 months are as follows:

The premium package can also be booked as an add-on during the course of a year, but the full-year fee will be charged.

5. Registration

5.1 The consultant/service provider must actively register in order to be able to use LOG.Direct. The consultant/service provider assures BVL that the personal and company details provided during registration are true and accurate.

5.2 Registration is limited to the following:

a.) Companies who provide at least 60 percent of their services to the logistics sector

b.) Departments/Company units that are specialised in services for logistics.

5.3 BVL is entitled to reject registrations without stating reasons.

6. Entry

In his entry, the consultant/service provider may list specific logistics fields as core fields of expertise. At least one reference project must be named and described for each of these fields.

7. Duration, termination

The minimum contract duration is one year, starting on the first day of the month following the making of the contract. The contract expires automatically if it is not extended by the consultant/service provider by a further 12 months via letter or fax at least four weeks before the end of the term of the contract.

8. Conditions of payment

8.1 The fees valid at the time the contract is made or extended apply (see no. 4). Invoices from BVL are due immediately. Fees cannot be altered during the course of the year - due to a change in the size of company, for example.

8.2 Payable fees may only be offset against undisputed or legally established claims arising from the same legal relationship.

8.3 In the event of payment default, BVL is entitled to block access to the data of the consultant/service provider in question. This will not affect the payment obli-gation of the consultant/service provider or the legal assertion of claims for dam-age resulting from this default.

9. Responsibilities of the consultant

9.1 The consultant/service provider assures BVL that he is authorised to forward and disseminate the data he enters and that he will comply with the relevant data protection regulations. He is responsible for the content or layout of the data he supplies and for ensuring that this data is correct, up-to-date and complete. The consultant/service provider explicitly assures BVL that his data comply with the applicable laws. The consultant/service provider indemnifies BVL against all claims arising from entries that violate legal regulations.

9.2 BVL is under no obligation to determine whether a request for an entry ad-versely affects the rights of third parties. The consultant/service provider is obliged to notify BVL without delay of identified deficiencies and disruptions of the services as well as of other impending threats (e.g. viruses) or indications of misuse by third parties and to take all required measures that he can be reasonably expected to take in order to establish, contain and document these deficiencies and disruptions.

The entered data is updated solely by the consultant/service provider. BVL is not responsible for incorrect or outdated data.

10. Blocking of the online entry

BVL is entitled to block content and data as well as links to websites if BVL ascer-tains any violation of competition, criminal, copyright or other laws. In the event that a warning is issued under the relevant competition laws, BVL is entitled to block the entry - in other words, to remove it from the website - without delay. In such cases, BVL is also entitled to terminate the agreement for cause without no-tice.

11. Maintenance work

BVL is entitled to perform maintenance work on databases, servers etc. Re-strictions resulting from this maintenance work do not entitle the consultant/service provider to reduce the fee, terminate the contract or assert claims for compensation.

12. Guarantee

12.1 BVL employs its best efforts to ensure that the published information can be accessed via the servers 24 hours a day, 7 days a week. No liability is assumed for non-significant or short-term limitations of usability or accessibility of individual entries. BVL does not assume any liability for cases of force majeure or any other circumstances for which it is not responsible.

12.2 BVL is entitled to amend or supplement the website in part or in whole or to delete parts of the website without prior notice provided that the entry of the con-sultant/service provider is not affected.

13. Liability

BVL assumes unlimited liability for injuries to life, limb or health for which it is re-sponsible and will, in the event of damage to property caused by the intentional or grossly negligent action of BVL, reimburse the cost of restoration of the property up to an amount equivalent to the fee paid in the calendar year in question. The reimbursement obligation does not cover the cost of reacquiring lost data. More extensive claims for damages and reimbursement of costs are excluded, irrespec-tive of their legal basis.

This provision does not apply in cases where liability is mandatory - based on the product liability laws, for example, or in cases of intent, grossly negligent violation of obligations resulting in injury to life, limb or health or due to infringement of material contractual obligations.

Compensation for damage arising from the infringement of material contractual obligations is, however, limited to the foreseeable damage typical for this type of contract - with the exception of cases of intent or grossly negligent violation of obligations.

BVL assumes no liability for damage resulting from the commissioning of the con-sultant/service provider by private or commercial users.

14. Data protection

BVL would like to point out that the required consultant/service provider data is stored and processed using data processing techniques within the framework of the relevant business relationships. BVL treats this data in confidence and only uses this data in compliance with the data protection regulations.

BVL only passes on personal data to third parties if:

this is legally permissible without your consent;

the forwarding of this data is necessary in order to provide the service you wish to make use of;

a subcontractor or agent employed in the provision of these services requires this data. Unless you are explicitly informed otherwise, these subcontractors or agents are only authorised to use this data to the extent that this is necessary to provide the service in question;

an enforceable official or court order is issued or if this is necessary in order to prevent in a legally admissible manner any misuse of our services, in particular in a way that violates the General Terms and Conditions of the publisher or special conditions of use.

15. Final provisions

The place of performance is Bremen as the domicile of BVL Service GmbH. Ger-man law applies and UN sales law is excluded.
